DISPUTE RESOLUTION

All disputes in any manner relating to or arising out of this Agreement shall be resolved through binding arbitration under the auspices of the American Arbitration Association. The decision or award of the arbitrator shall be binding upon the parties and shall be enforceable by a judgment entered in a court having jurisdiction. In the event that the arbitrator determines there is a prevailing party in the arbitration, the prevailing party shall recover from the other party all costs of arbitration, including all reasonable attorneys' fees incurred by the prevailing party. Any and all proceedings will be governed by the laws of the State of Texas unless parties at the time of contract agree otherwise.

CHOICE OF LAW

This agreement is governed by and construed in accordance with the laws of the State of Texas, U.S.A., without regards to conflicts of laws principles. You agree to submit to the exclusive jurisdiction of any state or federal court located in Texas and waive any jurisdictional, venue, or inconvenient forum objections to such courts.

TERMINATION

Tula Blue reserves the right to immediately terminate this agreement and/or your access to and use of the Tula Blue website or any portion thereof, at any time and for any reason, with or without cause. Tula Blue shall have no liability for termination of this agreement. Upon termination of this agreement, your right to use the Tula Blue website shall immediately cease.
